We provide visitors to our Websites (“Visitors”) access to the Websites subject to the following Terms of Use, which may be updated by us from time to time without notice to you, and you agree to review the Agreement periodically so you are aware of modifications. Please read this Agreement carefully before accessing the Website. By accessing or browsing the public areas and using the Websites, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use and our Privacy Policy, which is hereby incorporated by reference (this “Agreement”). If you do not agree to any of these terms, then please do not use the Websites.

Complete Absence of a Physician-Patient Relationship

Your usage of www.geriatriciansguide.com, consumption of digital media, reading of blog posts, download of the ebook The Long Road, or utilization of any interactive assessment tools DOES NOT establish a physician-patient professional relationship or any clinical engagement between you and The Geriatrician’s Guide LLC or Dr. Michael Genualdi.

While the materials on this platform address deep clinical, psychological, and logistical concepts regarding senior care, this platform is an independent commercial and educational enterprise. We cannot and do not assess, verify, or guarantee the adequacy, accuracy, or completeness of any material for your specific family situation. The educational discussion of these topics does not equate to or substitute for active medical, legal, or financial advice.

You bear sole responsibility for your own health and the healthcare decisions regarding your loved ones. Financial Independence and Strict Conflict of Interest Policy

The Geriatrician’s Guide LLC is fiercely and strictly independent. We built this platform to provide families with objective, uncompromised educational guidance. Therefore, we explicitly declare that our business accepts absolutely NO money, remuneration, kickbacks, referral fees, or sponsorships from senior living operators, nursing facilities, placement services, or referral networks.

Any recommendation, assessment, or strategy provided in our materials is based strictly on independent professional experience, completely free from third-party financial incentives.

FTC Affiliate Disclosure: While we explicitly refuse compensation from care facilities and placement agencies, the Websites may occasionally contain affiliate links to independent, third-party products (such as books or medical alert devices). If you click on an affiliate link and make a purchase, we may receive a small commission at no additional cost to you. This does not influence our educational content and never overrides our strict refusal of placement commissions.

1. Use of our Websites

We provide Visitors and purchasers with access to our Services as described below.

• Visitors: Visitors can view all publicly-available content on the Websites, utilize free interactive tools (such as the "Is It Time?" assessment), and contact us.
• Purchasers/Registered Users: Users who purchase our digital products (such as The Long Road ebook) or register for our mailing list gain access to specific digital downloads, exclusive content, and email newsletters.

The Website enables visitors who are at least eighteen (18) years of age to make purchases. Any user who makes a purchase is agreeing to the terms of this Agreement.

2. Intellectual Property and Strict Prohibition on Redistribution

The Websites contain material, such as digital ebooks, PDF guides, self-assessment tools, written text, graphics, images, and other material provided by or on behalf of the Company (collectively referred to as the “Content”). The Content is the exclusive property of The Geriatrician's Guide LLC and is protected under United States and foreign copyright and intellectual property laws.

• Personal Use Only: Purchasers and Visitors may view, and where applicable, download the Content solely for their own personal, non-commercial use regarding their own family or loved ones.
• Strict Prohibition on Sharing and Resale: You are expressly prohibited from unauthorized redistribution, copying, sharing, or resale of the original work. You may not forward, email, sell, transfer, assign, license, sublicense, or modify the Content (including The Long Road ebook or any lead magnets) or reproduce, display, publicly perform, distribute, or otherwise use the Content in any way for any public or commercial purpose.
• Corporate/Professional Use: Use of the Content by placement agencies, senior living facilities, or commercial healthcare consultants for training or distribution without a separate commercial license is strictly prohibited.

If you violate any part of this Agreement, your permission to access and/or use the Content automatically terminates and you must immediately destroy any copies you have made. We reserve the right to seek injunctive relief and damages for unauthorized distribution of our proprietary digital products.

3. Fees, Payments, and Refunds

As consideration for any digital product purchase you make on the Websites, you shall pay the Company all applicable fees and taxes. We (or our third-party payment processor) shall authorize your credit card or approved payment facility provided during the checkout process.

• No Refunds for Digital Goods: Because our products are delivered instantly as digital downloads, all purchases are final. There are absolutely NO refunds for ebooks or digital guides once the purchase is completed and the file has been made available to you.

4. Interactive Tools and User Inputs

The Websites may offer interactive features, such as the "Is It Time?" self-assessment tool. By using these tools, you acknowledge that they are provided strictly as educational rubrics to assist your personal understanding. They do not calculate or provide clinical diagnoses. Access to the results of these tools is subject to your affirmative agreement (e.g., via an "I Agree" checkbox) to this educational, non-diagnostic premise. You agree not to input sensitive Protected Health Information (PHI) identifying a specific patient into our public-facing platforms.

5. No Warranties; Limitations of Liability

THE WEBSITES AND THE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE, MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES’ RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE.

WE SHALL NOT BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM DECISIONS MADE BASED ON THE EDUCATIONAL CONTENT PROVIDED ON THIS WEBSITE. ANY DIRECT DAMAGES THAT YOU MAY SUFFER AS A RESULT OF YOUR USE OF THE WEBSITES OR THE CONTENT SHALL BE LIMITED TO THE FEES YOU HAVE PAID US IN CONNECTION WITH ANY PURCHASES YOU HAVE MADE FROM US DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENTS GIVING RISE TO THE CLAIM.

6. External Sites

The Websites may contain links to third-party websites. These links are provided solely as a convenience to you and not as an endorsement by us of the content on such sites. If you decide to access linked third-party websites, you do so at your own risk.

7. Binding Arbitration and Class Action Waiver

In the event of a dispute arising under or relating to this Agreement, the Content, or the Websites, either party may elect to finally and exclusively resolve the dispute by binding arbitration governed by the Federal Arbitration Act (“FAA”). IF EITHER PARTY CHOOSES ARBITRATION, NEITHER PARTY SHALL HAVE THE RIGHT TO LITIGATE SUCH CLAIM IN COURT OR TO HAVE A JURY TRIAL. All disputes will be resolved before a neutral arbitrator.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST US ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

8. Controlling Law

This Agreement and any action related thereto will be governed by the laws of the State of California without regard to its conflict of laws provisions.
